Terms of Business for Lit Synergies Ltd

1. Introduction
Welcome to Lit Synergies Ltd. These Terms of Business outline the terms and conditions under which Lit Synergies Ltd ("the Company," "we," "our," or "us") provides its services. By engaging with our products and services, including Remote Training, Face-to-Face Training, content design, e-books purchased through Kindle, and bespoke training and consultancy, you ("the Client") agree to be bound by these Terms of Business.
Please read these terms carefully before purchasing or using any of our services. If you do not agree to these terms, please do not proceed with our services.
2. Services Offered
Lit Synergies Ltd provides the following services:
- Remote Training: Delivered via online platforms, which may include video conferencing, webinars, and other digital channels.
- Face-to-Face Training: On-site training delivered in person at client-designated locations.
- Content Design: Development of training materials, modules, and resources for clients.
- E-books: Digital e-books available for purchase through third-party platforms such as Kindle.
- Bespoke Training and Consultancy: Tailored training programs and consulting services to meet the specific needs of the client.
The scope, deliverables, and costs for bespoke services will be agreed upon in a separate contract between the Company and the Client.
3. Pricing and Payment Terms
3.1 Pricing:
The prices for our services will be provided in written proposals or statements of work (SOW). Prices are subject to change, and any changes will be communicated to clients in advance.
3.2 Payment Schedule:
For all training and consultancy services, payment terms will be outlined in the contract. For Remote Training and Face-to-Face Training, payment is due either in advance or in stages as per the agreed-upon contract.
- E-books: Payment is processed directly through the third-party provider (e.g., Kindle). The Company is not responsible for payment terms, refunds, or delivery issues for purchases made through such platforms.
3.3 Late Payments:
Late payments may incur interest at 2% above the Bank of England base rate for each day the payment is overdue. The Company reserves the right to suspend services until payment is received in full.
3.4 Currency:
Unless otherwise specified, all invoices are issued in GBP (£). Clients outside the UK are responsible for any currency conversion fees or other associated bank charges.
4. Cancellation and Refund Policy
4.1 Remote Training and Face-to-Face Training:
If the Client cancels a booked training session, the following cancellation fees will apply on top of any costs already accrued by Lit Synergies Ltd. for work carried out on behalf of the client or for expenses already accrued:
- More than 14 days before the session: No charge other than costs already accrued by Lit Synergies for work completed and/or expenses.
- Between 7 and 14 days: 50% of the total fee.
- Less than 7 days: 100% of the total fee.
Cancellations must be communicated in writing to contact@litsynergies.com.
4.2 Bespoke Consultancy:
For bespoke consultancy projects, any cancellation terms will be defined in the specific contract. In the absence of such terms, cancellations made less than 15 days before the agreed start date will incur a charge of 50% of the total project fee.
4.3 E-books:
Refunds for e-books are subject to the policies of the third-party provider (e.g., Kindle) through which the purchase was made.
5. Intellectual Property
5.1 Ownership of Materials:
All training materials, content, and intellectual property developed or delivered by Lit Synergies Ltd, whether in Remote Training, Face-to-Face Training, or content design, remain the sole property of the Company unless otherwise agreed in writing.
5.2 Licensing:
Clients are granted a limited, non-exclusive, non-transferable license to use training materials provided by Lit Synergies Ltd for the purpose of internal training and development. Materials may not be shared, distributed, or sold without written permission from the Company.
6. Confidentiality
6.1 Mutual Confidentiality:
Both the Client and Lit Synergies Ltd agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. Neither party will disclose confidential information to third parties without prior written consent.
6.2 Exclusions:
Confidentiality obligations do not apply to information that:
- Is already in the public domain.
- Was known by the recipient prior to receiving it.
- Is disclosed by a third party without breach of any confidentiality obligation.
7. Limitation of Liability
7.1 No Warranty:
Lit Synergies Ltd provides its services on an "as-is" basis and makes no warranties, expressed or implied, including but not limited to, any implied warranties of fitness for a particular purpose or suitability.
7.2 Exclusion of Liability:
To the extent permissible by law, the Company shall not be liable for any indirect, incidental, or consequential damages, loss of profits, revenue, or data arising from the Client’s use of or inability to use our services.
7.3 Cap on Liability:
The Company’s total liability for any claims arising out of or in connection with these terms will not exceed the amount the Client has paid to Lit Synergies Ltd for the specific service in question.
8. Data Protection and Privacy

9. Governing Law
These Terms of Business are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Force Majeure
Lit Synergies Ltd shall not be liable for any failure to perform or delays in performing its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, strikes, labour disputes, or governmental actions.
11. Termination
11.1 By the Client:
The Client may terminate a service agreement with Lit Synergies Ltd at any time by providing written notice. Any fees for services rendered up to the point of termination will be payable.
11.2 By Lit Synergies Ltd:
Lit Synergies Ltd reserves the right to terminate a contract if the Client breaches any of these terms or fails to make payment in accordance with agreed terms.
12. Amendments
Lit Synergies Ltd reserves the right to update or amend these Terms of Business at any time. Any changes will be communicated to clients and posted on our website.
